The difference between Ultegra & Dura Ace?

Can someone please explain the difference in Ultegra & Dura Ace? There is the obvious price differences, but is it mainly weight, materials or performance? Also, does it make enough difference to justify the price? I ride a lot and compete in 4-5 triathlons a year, but I am not entering to win.
